These Terms of Service ("Terms") govern your access to and use of the Healthdex platform and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing our platform, or using any of our Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our Services.
These Terms constitute a legally binding agreement between you, either as an individual or on behalf of an organization, and Healthdex.
2. Description of Services
Healthdex provides a healthcare market intelligence platform built around negotiated-rate data, provider footprint, benchmark reporting, and hospital-quality-aware analysis. Our Services include:
- Access to structured healthcare transparency data
- Provider directory and network footprint analysis
- Rate benchmarking and market comparison tools
- Quality metrics and performance data overlay
- Reporting, export, and workflow-persistence capabilities
- Additional enterprise capabilities where separately offered in writing
3. Account Registration and Responsibilities
Account Creation
To use our Services, you must:
- Provide accurate, current, and complete information
- Be at least 18 years of age
- Have authority to bind your organization, if applicable
- Maintain the security of your account credentials
Account Security
You are responsible for maintaining login credential confidentiality, all activities under your account, notifying us of unauthorized access, and ensuring account information remains current.
4. Acceptable Use
Permitted Uses
You may use our Services for healthcare market analysis, contract negotiation preparation, M&A diligence, network design, provider benchmarking, steerage modeling, and internal business intelligence.
Prohibited Uses
You agree not to:
- Resell, redistribute, or sublicense access to our Services
- Use our Services to build a competing product or service
- Scrape, data mine, or extract data through unauthorized automated means
- Reverse engineer, decompile, or disassemble our platform
- Share account credentials with unauthorized users
- Attempt to gain unauthorized access to our systems
- Use our Services for any illegal purpose
- Remove or obscure copyright or proprietary notices
- Interfere with or disrupt our Services or servers
5. Intellectual Property
Our Property
Healthdex owns all rights, title, and interest in and to the Services, including software, algorithms, data structures, user interfaces, and documentation.
Data Licensing
The underlying transparency data is public information. However, our aggregation, structuring, normalization, and presentation of this data is proprietary. You receive a limited, non-exclusive, non-transferable license to access and use this data through our platform for internal business purposes only.
Export Restrictions
Data exported from our platform may be used internally or shared with clients and stakeholders as part of advisory work, but may not be redistributed as a standalone data product or used to create a competing service.
6. Payment Terms
Subscription fees are based on your selected plan. Fees are billed monthly or annually in advance and are non-refundable except as required by law.
We accept payment via credit card or ACH. By providing payment information, you authorize us to charge applicable fees to your payment method.
We may change pricing with 30 days' notice. Price changes apply to subsequent billing cycles and do not affect the current billing period.
If payment fails, we will attempt collection for up to 15 days. After 15 days, your account may be suspended until payment is received. Accounts suspended for more than 30 days may be terminated.
7. Cancellation and Termination
Your Right to Cancel
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
Our Right to Terminate
We may suspend or terminate your account if you violate these Terms, fail to pay fees, engage in fraudulent or illegal activity, or use the Services in a manner that harms Healthdex or other users.
Effect of Termination
Upon termination, access to the Services will cease. We will delete account data within 90 days unless retention is required by law. You may request a final data export within 30 days of termination.
8. Data Accuracy and Disclaimers
Data Sources
Our data is sourced from publicly available CMS files, hospital transparency disclosures, and payer TiC files. We process this data in good faith but do not control source-file accuracy or completeness.
No Warranty of Accuracy
We do not warrant that our data is error-free, complete, or current. Healthcare organizations and payers may update files at any time, and some files may contain errors or omissions.
Professional Judgment Required
Our Services provide market intelligence to inform decisions. You are responsible for validating data before relying on it for critical business decisions, contract negotiations, or legal proceedings.
Service Availability
We strive for 99.5% uptime but do not guarantee uninterrupted access. We may perform maintenance and occasionally experience unplanned outages.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHDEX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Healthdex, its officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising from your use of our Services, your violation of these Terms, your violation of third-party rights, or actions you take using our Services.
11. Modifications to Terms
We may modify these Terms at any time. We will provide notice of material changes via email or platform notification at least 30 days before they take effect. Continued use after changes become effective constitutes acceptance.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles.
Disputes shall first be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.
13. Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Healthdex regarding your use of our Services.
Severability
If any provision is invalid or unenforceable, the remaining provisions will remain in full effect.
No Waiver
Our failure to enforce a provision does not constitute a waiver of that provision or any other provision.
Assignment
You may not assign or transfer these Terms or your account without written consent. We may assign these Terms without restriction.
